The following Supplemental Terms apply only to the Cloud Application Manager Services (“Services”). In the event of a conflict between the terms of these Supplemental Terms and the terms of the Hybrid Technologies Service Exhibit (formerly known as the CenturyLink TS Service Exhibit), the terms and conditions of these Supplemental Terms apply, but only to the extent of such conflict. Capitalized terms used in these Supplemental Terms but not defined will have the meanings set forth in the Agreement.
If Customer elects to purchase cloud services from a Cloud Service Provider (CSP) made available by Lumen, Customer agrees the purchase is contingent upon Customer’s affirmative acceptance of additional terms and conditions as may be required.
Currently available Cloud Service Providers:
Microsoft Azure
CSP services for Microsoft Azure available from Lumen are available only to Customers with legal/billing address in the United States, Canada, Australia, Hong Kong, Singapore, the United Kingdom, and certain countries in Europe. A Lumen representative should be contacted for a detailed list of geographic, sector, and feature availability. Customer further agrees to comply with any applicable Lumen requirements with respect to local entity contracting and billing. Customer’s use of Microsoft Azure services made available from Lumen constitutes Customer’s acceptance of the applicable Microsoft terms. The terms applicable by available country are located at Microsoft Cloud Agreement.
Amazon Web Services
CSP services for Amazon Web Services available from Lumen are available only to Customers with legal/billing addresses in the United States, Australia, Singapore, Hong Kong, Japan, the United Kingdom, and certain countries in Europe. A Lumen representative should be contacted for a detailed list of geographic, sector, and feature availability. Customer further agrees to comply with any applicable Lumen requirements with respect to local entity contracting and billing. Customer is required to click to accept the applicable Terms and Conditions for AWS Resale or AWS End Customer as part of the account set up process.
Google Cloud Platform
CSP services for Google Cloud Platform available from Lumen are available only to Customers with legal/billing addresses in the United States, the United Kingdom, and Singapore. A Lumen representative should be contacted for a detailed list of geographic, sector, and feature availability. Customer further agrees to comply with any applicable Lumen requirements with respect to local entity contracting and billing. Customer is required to click to accept the Lumen Customer Agreement for Resale of Google Cloud Platform as part of the account set up process.
Cloud Application Manager service fees are based on usage during a month with no base minimum Cloud Application Manager support fee.
Cloud Application Manager subscription pricing may vary by region and the appropriate regional pricing applies to Cloud Application Manager subscriptions based on the region from which the customer contracted for Services. The regional price plan will apply to Customer’s Cloud Application Manager services used globally, where available.
Service fees are based on actual usage within each individual Cloud Application Manager Provider Account (as defined in the Service Guide) during the billing month. Applicable service fees for each Provider Account are determined by the provider account type (e.g., Lumen provided clouds, third party public clouds resold by Lumen Bring Your Own Cloud (BYOC)) and the level of service (e.g., Alerting, Managed) set for each Workload Tier (i.e., Operating System, Non-Cloud-Native Database, Non-Cloud-Native Web Servers) within the Provider Account.
A Lumen-led cloud support fee, calculated as a percentage of uplift on total cloud spend on third party clouds resold by Lumen for the month, is applied to all Provider Accounts that are public clouds resold through Lumen. A Cloud Optimization and Analytics (COA) service fee calculated as a percentage of uplift on total monthly cloud spend applies to any applicable Provider Account that had this optional service turned on for any time during the month.
Level of Service Fees.
Managed Services Anywhere invoices are prepared monthly. Fees are calculated as an uplift charge on Customer Managed Platform consumption. These charges are included on each invoice.
For Physical Server platforms, Managed Services Anywhere is billed monthly based on a fixed monthly fee.
Lumen’s management fees related to Managed Services Anywhere do not apply to the appliance itself. Instead, Customer will be charged for the applicable Virtual Machine (VM) instance that the appliance runs on. These charges will be reflected on the Customer’s cloud provider bill. See Remote Administration in the table below for further detail.
Platform Advisory Support is billed monthly based on the spend of the customer’s Application Lifecycle Management usage, and AWS, Azure, Lumen Private Cloud, and Lumen Public Cloud spend. Platform Advisory Support for Physical Server is a percentage of a fixed monthly recurring fee per Physical Server. All Cloud Application Manager Services are billed two months in arrears.
Existing Customers with a previous price plan can opt-in to the new price plan at any time via written request to their TAM from a Customer user with Cloud Application Manager Administration credentials.
Existing Customers that activate HPE Synergy will be required to immediately move both new and existing services entirely to the new price plan. The prior price plans do not support HPE Synergy.
An Advanced Managed Services subscription with a monthly commitment to the Technical Account Manager (“TAM”) role is required with the new price plan. A new or modified Advanced Managed Services Service Order (and the current terms and conditions) are required if Customer does not already have a TAM commitment at the time of changing to the new price plan. A one billing-month grace period for continued use of a TAM under the later price plan is allowed until establishing a new Advanced Managed Services subscription after switching to the new price plan.
Any existing Cloud Application Manager MSA Term commit minimum spend and service term commitments remain intact when an existing Customer moves to the new price plan; the existing discount percentages will be applied against the MSA fees in the new price plan.
The billing month in which the Customer changes to the new price plan will be billed as a full month on the new price plan rather than pro-rating the billing month across two price plans.
An existing Provider Account set to MSA level of service governed by the prior price plan will transition to Lumen-led Cloud Support if (i) it is a third-party public cloud resold by Lumen, (ii) cloud optimization and analytics service is activated (if applicable), and (iii) all Workload Tiers are set to a level of service of “managed” for the Provider Account governed by of the new price plan. The Cloud Optimization and Analytics and workload tier level of service settings can be changed at any time as desired by Customer or Lumen on behalf of Customer.
An existing Provider Account set to Platform Advisory Service (PAS) governed by the prior price plan will transition to Lumen-led Cloud Support if, i) it is a third-party public cloud resold by Lumen, (ii) cloud optimization and analytics service is activated (if applicable), and (iii) all Workload Tiers set to a level of service of “none” for the Provider Account governed by the new price plan. The Cloud Optimization and Analytics and Workload Tier level of service settings can be changed at any time as desired by Customer or by Lumen on behalf of Customer.
must have or obtain and maintain all appropriate permissions to enable the installation by Lumen of a proprietary management appliance on each Managed Platform for which Managed Services Anywhere is selected in order to enable Lumen to perform its obligations. Any changes to the customer network or environment by Customer that results in degradation or disconnection of the connection will result in Lumen’s inability to provide Managed Services Anywhere.
Customer agrees to obtain and maintain all appropriate permission for Lumen to deploy a remote gateway on the appliance to establish a secure connection between the applicable Managed Platform and Lumen. The gateway is required for Lumen to remotely monitor and access the applications within the Customer’s environment that are designated as Lumen managed. The connection is monitored and maintained by Lumen.
